These Terms of Service govern your use of Relay, a product of Pryor Digital Ventures LLC, a Michigan limited liability company ("Pryor Digital Ventures," "Relay," "we," "us"). By creating an account or using the service, you agree to these Terms. We may update them from time to time — if we make material changes, we'll give you at least 14 days' notice by email.
Relay is a business operations tool for contractors and service businesses. It helps you generate invoices, create documents, dispatch work orders, and automate customer follow-up via the web portal at portal-relay.com.
You're responsible for keeping your login credentials secure and for everything that happens under your account. Provide accurate information when signing up and keep it current. If you suspect unauthorized access, contact us immediately at support@portal-relay.com.
Relay is a subscription service billed monthly at the rates listed on portal-relay.com.
Payments are processed by Stripe. By subscribing, you also agree to Stripe's Terms of Service.
You may use Relay only for lawful business purposes. You agree not to:
We reserve the right to suspend or terminate accounts that violate these terms without refund.
Messages we send to you. Relay is operated over SMS. If you check the optional SMS consent box at signup, you agree to receive text messages from Relay at the number you provided, including job confirmations, invoice and quote notifications, and account alerts. These are transactional messages about your own account. We do not send marketing or promotional text messages on this number.
Frequency. Message frequency varies with how many jobs you submit — typically 5–20 messages per month.
Rates. Message and data rates may apply. Relay does not charge you for text messages; your mobile carrier may.
Opting out and getting help. Reply STOP to any Relay message to unsubscribe. You will receive one confirmation and no further messages. Reply START to resume. Reply HELP for assistance, or contact support@portal-relay.com. Consent to receive text messages is not a condition of purchasing anything from us. Carriers are not liable for delayed or undelivered messages.
Messages you send to your customers. By entering a customer's phone number in Relay, you confirm that the customer has consented to receive text messages from your business, and you must record how that consent was obtained — Relay requires this before it will text a customer. You are responsible for maintaining records of that consent and for complying with all applicable laws including the TCPA. Relay sends those messages as your agent — you are the sender of record.
You own your data. We don't claim any rights to your customer information, documents, or business data. We use your data only to provide the service, as described in our Privacy Policy. You can export or request deletion of your data at any time by contacting support@portal-relay.com.
Relay uses AI to generate documents based on your templates and job data. You are responsible for reviewing AI-generated content before sending it to customers. We don't guarantee that AI-generated documents will be error-free or legally sufficient for all purposes. Important agreements should be reviewed by a qualified professional.
We aim to keep Relay available at all times but can't guarantee it. Maintenance, outages, or third-party service disruptions may occasionally affect availability. We'll communicate significant outages by email.
Relay is provided "as is." To the maximum extent permitted by law, we are not liable for indirect, incidental, or consequential damages. Our total liability for any claim is limited to the amount you paid us in the 3 months preceding the claim.
You can close your account at any time. We can suspend or terminate your account if you violate these Terms or engage in fraud. If we ever discontinue the service entirely, we'll give you at least 30 days' notice and a prorated refund for unused subscription time.
These Terms are governed by the laws of the State of Michigan, where Pryor Digital Ventures LLC is organized, without regard to conflict of law principles. Any dispute arising under these Terms shall be brought in the state or federal courts located in Michigan.
